He was the son of Charles B. Godfrey and Cora Chapin Godfrey.
On September 2, 1915, he married Dorothy Severance Rich at Sugar Hill, New Hampshire.
They were the parents of five children, two of whom died in infancy.
Surviving children were Hope Godfrey McGrath (1916-2009); Charles Stuart Godfrey (1918-1998) and Pearce Godfrey (1926-1991).
