Godfrey was the son of Count Albert III and his wife Isa of Saxony, the heiress of Laroche.

He was the husband of Sibylle, the daughter of Count Roger of Château-Porcéan and his wife Ermengarde. They married in 1087 and had two daughters before they divorced in 1105:
* Elisabeth, wife of Gervais, Count of Rethel & Clarembaud de Roscy
* Flanderine, wife of Hugh of Épinoy

Secondly, he married Ermrsinde, the daughter of Count Conrad I of Luxembourg and Clementia of Aquitaine, also the widow of Count Albert I of Egisheim-Dagsburg. They married in 1109 and had the following children:
* Albert , died in his twenties
* Henry IV the Blind, Count of Luxembourg and Namur
* Clementia, married Duke Conrad I of Zähringen
* Alice, married Baldwin IV, Count of Namur
* Beatrix, married Ithier, Count of Rethel

Godfrey founded Floreffe Abbey.
