James was the third son and youngest child of Charles, 3rd Earl Stanhope and his second wife, Louisa Grenville.

He married Lady Frederica Louisa on 9 Jul 1820, and they had two sons.

Lady Frederica died in childbirth with their second son in 1823. James was heart-broken and resigned his commission as a result. Two years later, still overcome with grief, he committed suicide.

He is buried with his wife and child in a vault beneath the Stanhope Chantry at St. Botolph's in Chevening.
