Ninth son of Charles Grey, 2nd Earl Grey, and the Honourable Mary Elizabeth Ponsonby. Paternal grandson of Charles Grey, 1st Earl Grey, and Elizabeth Grey. Maternal grandson of William Brabazon Ponsonby, 1st Baron Ponsonby, and the Honourable Louisa Molesworth.

Henry was a British Army captain. He never married and died at the age of 65.
